PRICING, COMMERCIAL TERMS AND SERVICE POLICY

SARWIN HR AGENCY

This Pricing, Commercial Terms and Service Policy (“Policy”) governs and regulates the recruitment and talent acquisition services provided by Sarwin HR Agency (“Agency”) to employers, companies, organizations, or entities (“Client”). By accessing, requesting, or utilizing the Agency’s services, the Client acknowledges, agrees, and undertakes to be legally bound by the terms and conditions set forth herein, without limitation or exception.


1. SERVICE ENGAGEMENT AND SCOPE

Upon receipt of a hiring requirement from the Client, the Agency shall undertake recruitment-related activities including, but not limited to, talent sourcing, resume screening, preliminary interviews, skill assessment, and basic background verification based on candidate-declared information. The Agency retains sole discretion over the recruitment methodology, processes, and sourcing channels used for identifying and evaluating candidates.


2. FEES, CHARGES AND COMMERCIAL CONSIDERATION

In consideration of the recruitment services rendered, the Client agrees to pay a professional service fee equivalent to fifteen percent (15%) of the Annual Cost to Company (CTC) offered to and accepted by the selected candidate. The fee shall be calculated per candidate hired and shall become due and payable immediately upon the candidate’s joining date, irrespective of subsequent performance, role changes, or retention.


3. PAYMENT OBLIGATION AND TIMELINES

The Client expressly agrees that the full recruitment fee, as invoiced by the Agency, shall be remitted within twenty-four (24) hours from the candidate’s official date of joining. Any delay, failure, or refusal to make payment within the stipulated timeline may result in suspension or termination of ongoing or future recruitment services, without prejudice to the Agency’s legal rights.


4. CANDIDATE SCREENING AND VERIFICATION DISCLAIMER

The Agency conducts only basic interview screening and preliminary verification based on information provided by the candidate. Final employment decisions, detailed background verification, statutory compliance checks, reference validation, and suitability assessments remain the sole responsibility of the Client. The Agency shall not be liable for any discrepancies or misrepresentations identified after candidate placement.


5. MULTIPLE PROFILE SUBMISSION

For a single job requirement, the Agency may submit multiple candidate profiles until the Client is reasonably satisfied with skill alignment. Submission of multiple profiles does not constitute a waiver, reduction, or modification of the applicable recruitment fee, which remains payable for each candidate hired.


6. NON-FREE SERVICE DECLARATION

The Client acknowledges that the Agency does not operate under a free, complimentary, or success-without-fee recruitment model. All services rendered are chargeable unless expressly agreed otherwise in writing by authorized representatives of the Agency.


7. LIMITATION OF LIABILITY

Under no circumstances shall the Agency be held responsible for the conduct, performance, retention, resignation, termination, or suitability of any candidate after placement. The Agency shall not be liable for any direct, indirect, incidental, or consequential losses arising from the Client’s internal employment or management decisions.


8. CONFIDENTIALITY AND NON-DISCLOSURE

All candidate data, resumes, and related information shared by the Agency shall be treated as strictly confidential. The Client shall not disclose, transfer, or share such information with any third party without prior written consent from the Agency. Any breach may result in legal action.


9. POLICY MODIFICATION AND GOVERNING LAW

The Agency reserves the unrestricted right to amend, revise, or modify this Policy at any time without prior notice. Such amended terms shall be deemed effective immediately upon publication. This Policy shall be governed and construed in accordance with the laws of India and shall be subject to the exclusive jurisdiction of competent courts therein.
